1. Acknowledgment and Acceptance of Our Terms

These Terms of Use ("Terms") are a legally binding agreement between [Nexspace entity legal name] ("Nexspace," "we," "us," or "our") and you, and govern your access to and use of our websites (including at [your domains]), web or mobile applications, and related online or offline services, including tools, content, functions, features, publications, and our physical coworking premises in Taipei (collectively, the "Services" and the "Content").

Read these Terms and our Privacy Policy before using the Services. By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You are also subject to any community guidelines or rules posted on the Services, which are incorporated by reference. You represent that you are at least 18 years old and can form a binding contract, and if you act on behalf of an organization, you are authorized to accept these Terms for that organization. If you and Nexspace have a separate executed agreement, that agreement controls to the extent of any conflict.

If you do not agree with these Terms, stop using the Services immediately. We may change these Terms at any time in our sole discretion. By continuing to use the Services after changes are posted, you agree to the updated Terms. We may deny access to anyone at any time for any reason, including violations of these Terms.

2. License and Reservation of Rights

Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to access and use the Services and Content for your personal, non-commercial use. Except for the limited license expressly granted, no rights are conveyed. The Services and Content are owned or licensed by Nexspace and/or its licensors, including names, logos, text, images, audiovisual works, icons, scripts, and other materials.

Except as permitted by law or expressly authorized by us, you may not copy, distribute, display, download, transmit, or create derivative works from the Content. Unauthorized use may violate copyright, trademark, privacy, publicity, or other laws. All rights not expressly granted are reserved. Trademarks and service marks referenced in the Services are the property of Nexspace or their respective owners; nothing grants you any license to use them without prior written consent.

Without limiting the foregoing, this license does not convey rights to reproduce or promote Content for redistribution, public performance, or commercial resale, nor to distribute Content on broadcast or streaming platforms or physical media.

3. User Conduct and Restrictions

You agree not to:

• (a) decompile, reverse engineer, disassemble, modify, or create derivative works of the Services or Content;
• (b) disable or circumvent security or access-control features;
• (c) introduce viruses, malware, or harmful code;
• (d) remove or alter proprietary notices;
• (e) sublicense, assign, rent, lease, lend, resell, or otherwise transfer the Services or Content;
• (f) use the Services or Content in violation of applicable laws or regulations (including telecommunications and intellectual-property laws);
• (g) post or transmit unlawful, infringing, defamatory, obscene, harassing, discriminatory, or hateful material;
• (h) send unsolicited or unauthorized advertising, spam, or commercial communications;
• (i) access the Services via automated means or bots without our written permission;
• (j) scrape, copy, republish, license, or sell information or Content from the Services;
• (k) attempt unauthorized access to accounts, systems, or networks; or
• (l) interfere with or disrupt the integrity or performance of the Services.

We may take any action permitted by law for violations, including suspension or termination of access and reporting to authorities.

4. Your Responsibilities

If we allow you to create an account ("Account"), you are responsible for all activity under your Account. Do not sell, transfer, or assign your Account or login credentials. Provide true, accurate, current, and complete information and keep it updated. Keep your password secure. Except for authorized representatives creating Accounts for their organizations, you will not create an Account for anyone else.

5. Privacy

Personal data collected via the Services is handled in accordance with our Privacy Policy and applicable laws, including Taiwan's Personal Data Protection Act (PDPA). Please review our Privacy Policy to understand how we collect, use, and safeguard your data.

6. User Content

Our interactive features may allow you to post or submit information, images, links, and other materials ("User Content"). Except as otherwise agreed in writing:

• (a) you represent and warrant that your User Content complies with these Terms and applicable law and that you own or have sufficient rights to grant the license below;
• (b) you will pay any royalties or fees owed to third parties;
• (c) you are solely responsible for your User Content, including its legality, reliability, accuracy, and appropriateness; and
• (d) you waive any moral rights to the extent permitted by law.

You grant Nexspace a non-exclusive, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose your User Content for operating, improving, and promoting the Services, subject to our Privacy Policy. We are not a backup service and are not responsible for loss of User Content. We may, but are not obligated to, monitor, review, or remove User Content in our sole discretion.

If you submit feedback, ideas, or suggestions ("Feedback"), you agree we may use it without restriction or obligation to you.

Advertising may appear in or around the Services and User Content, and its form and placement may change without notice.

7. Linking to the Services

You may link to public pages of our websites in a fair and legal manner that does not suggest sponsorship, approval, or endorsement without our written consent. You may not frame or mirror the Services. We may disable links or social-sharing features at any time.

8. Disclaimer of Referrals

If the Services reference suppliers, professionals, or third-party providers (e.g., designers, IT vendors, movers), we do not endorse or guarantee them. Your interactions are solely between you and such third parties, and you bear all risks. For medical or legal questions, consult licensed professionals.

9. External Links; Affiliate Relationships

The Services may link to external sites. We do not control and are not responsible for third-party content, products, or services. Your use of external sites is at your own risk. We or our affiliates may earn a commission from third-party links or purchases.

10. Text Message Program

If you opt in to receive SMS messages, you consent to receive texts regarding updates or promotions at the phone number you provide. Consent is not a condition of using the Services. 11. Contests, Promotions, Simulations, or Games

Promotions may require registration and are governed by these Terms and any specific rules we publish. We may suspend or revoke registrations and disqualify participants who violate rules or applicable law. We are not responsible for technical failures affecting participation.

12. Purchases, Memberships, Bookings, and Day Passes

If the Services enable purchases or bookings (including memberships, day passes, meeting rooms, and event tickets):

Accuracy and Availability.

We strive to present accurate details but do not guarantee completeness or availability. Offerings, prices, and fees may change.

Payment.

You agree to provide current, complete, and accurate payment and billing information. Taxes and processing fees may apply. Amounts are in New Taiwan Dollars (TWD) unless stated otherwise.

Orders and Refunds.

We may accept, reject, or cancel orders in our discretion. Unless our specific refund/cancellation policy states otherwise, all purchases are final and non-refundable. If we cancel after charging you, we will refund the applicable amount.

Risk of Loss.

Risk for goods passes on delivery.

Membership Rules.

Memberships and day passes are personal to you, non-transferable, and subject to the House Rules (Section 13) and any membership agreement. We may suspend or terminate access for violations.

Meeting Rooms.

Bookings are subject to availability, maximum occupancy, and stated use times. Overtime, excessive cleaning, damages, or additional services may incur fees.

Virtual Office and Registered Address.

If offered, mail handling and registered address services are subject to identity verification, compliance with applicable laws (including company registration and tax rules), and our additional terms. We may refuse mail or packages that are illegal, hazardous, improperly labeled, or exceed size/volume limits.

13. House Rules for Physical Premises

When you or your guests access Nexspace premises in Taipei, you agree to follow these rules and any posted updates:

Access Hours and Badges.

Use only during your permitted hours. Do not share access cards or codes. Lost badges may incur replacement fees.

Guests.

You are responsible for your guests and must accompany them at all times unless we approve otherwise.

Noise and Conduct.

Keep noise reasonable. Do not engage in harassment, threats, or unsafe behavior.

Prohibited Uses.

No illegal activities; no hazardous materials; no offensive or pornographic production; no high-risk fabrication or activities requiring special permits unless we approve in writing.

Food, Alcohol, and Smoking.

Follow posted policies. No smoking or vaping inside.

Equipment and Internet.

Use shared equipment and Wi-Fi responsibly. No network abuse, unlawful downloads, or attempts to circumvent security.

Cleanliness and Damages.

Keep your area tidy. You are liable for damage beyond reasonable wear and tear caused by you or your guests.

Personal Property.

You are responsible for your belongings. We are not a bailee and are not responsible for loss, theft, or damage.

Safety and Emergencies.

Follow instructions during drills or emergencies. Do not block exits or tamper with safety devices.

CCTV and Access Logs.

Premises may use CCTV, access controls, and visitor logs for safety, security, and operations as described in our Privacy Policy.

We may update House Rules at any time.

14. Modifications and Interruptions

We do not guarantee the Services or premises will be available at all times. Maintenance, upgrades, outages, or circumstances beyond our control may occur. We may modify or discontinue any part of the Services or offerings without notice and without liability.

15. Disclaimer of Warranties

EXCEPT AS REQUIRED BY LAW OR EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SERVICES, PREMISES, CONTENT, PRODUCTS, MEMBERSHIPS, AND BOOKINGS ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, OR RELIABILITY. YOUR USE IS AT YOUR OWN RISK.

We do not warrant that the Services will be error-free, secure, or uninterrupted, or that defects will be corrected, or that the Services are free of viruses or other harmful components.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NEXSPACE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES OR PREMISES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE OR BOOKING GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE EVENT, OR NT$10,000, WHICHEVER IS GREATER. Some jurisdictions do not allow certain limitations; to that extent, the foregoing may not apply.

17. Governing Law; Jurisdiction; Dispute Resolution

These Terms are governed by the laws of Taiwan (Republic of China), without regard to conflict-of-laws principles. The parties will first attempt to resolve disputes in good faith through consultation.

Except for claims seeking injunctive or other equitable relief, disputes arising out of or relating to these Terms, the Services, or your use of the premises shall be finally resolved by arbitration administered by the Chinese Arbitration Association, Taipei (CAA) under its applicable rules. The seat of arbitration will be Taipei, Taiwan. The language of arbitration will be English (or Mandarin, if both parties agree). The arbitrator's award shall be final and binding and may be enforced in any court of competent jurisdiction. Either party may seek interim injunctive relief from the Taipei District Court to protect rights pending arbitration. To the extent permitted by law, proceedings will be conducted on an individual basis, not as a class or representative action.

18. Indemnification

You agree to defend, indemnify, and hold harmless Nexspace and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your use or misuse of the Services or premises; your User Content; your violation of these Terms or applicable law; or your infringement of any third-party rights.

19. Unauthorized Use of Third-Party Content

We respect intellectual-property rights and prohibit users from posting or transmitting materials that infringe others' rights. If you believe content on the Services infringes your copyright, notify us at:

Your notice should include: (1) identification of the copyrighted work; (2) identification and location of the allegedly infringing material; (3) your contact details; (4) a statement of good-faith belief; (5) a statement, under penalty of perjury, that the information is accurate and you are authorized to act; and (6) your physical or electronic signature.

20. App Store Terms

If you access our apps via a third-party app store, your use may be subject to that app store's terms. Those providers are not responsible for our apps, have no obligation to provide support, and are third-party beneficiaries solely to the extent their terms so provide.

21. International Use

The Services are controlled from Taiwan and may be accessible worldwide. We make no representation that the Services or Content are appropriate or lawful outside Taiwan. Access from territories where the Services are illegal is prohibited. If you access from outside Taiwan, you do so at your own risk and are responsible for compliance with local laws.

22. Severability

If any provision of these Terms is held invalid or unenforceable, it shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

23. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without notice, including to an affiliate or in connection with a merger, acquisition, or asset transfer.

24. Electronic Communications, Transactions, and Signatures

Using the Services, sending us emails, and completing forms constitute electronic communications. You consent to receive communications from us electronically and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You consent to the use of electronic signatures, orders, and other records in connection with the Services.
